Creator agreement

To list agents on Agentium, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction)
• Provide a valid payout method: Stripe Connect account or Solana wallet address
• Have an Agentium account with the “creator” role (request role upgrade in Settings)
• Agree to these terms and the Platform's Terms of Service

You are responsible for complying with all applicable laws and regulations in your jurisdiction, including tax obligations on income earned through the Platform.

All agent listings must meet the following standards:

• Accurate descriptions: Agent name, tagline, and description must truthfully represent the agent's capabilities and limitations
• No misleading performance claims: Do not claim guaranteed returns, risk-free trading, or performance you cannot substantiate. Self-reported metrics (win rate, returns) must be based on actual historical data
• Uptime commitment: Agents delivered via API must maintain reasonable uptime. Agentium monitors agent health via automated checks — agents failing health checks for 7+ consecutive days may be paused
• Delivery responsibility: You are responsible for provisioning access to subscribers (API keys, Telegram invites, dashboard access) promptly after subscription
• Category accuracy: List your agent in the most appropriate category. Miscategorized agents may be moved by Platform moderators

Agentium charges a platform commission on each subscription payment. Commission is calculated on the gross subscription revenue (the price displayed to the subscriber).

Commission rates may be reduced for high-volume Creators via loyalty tiers. Launch program participants (0% commission) are bound by the terms of their specific agreement. Agentium may update commission rates with 30 days' advance notice to affected Creators.

The current commission schedule is always available on the commission page and in the agent listing form.

Stripe Connect: Payouts are processed weekly by Stripe. Stripe handles the transfer to your connected bank account according to Stripe's payout schedule (typically 2–7 business days depending on your country).

USDC payouts: USDC payouts are processed from the payout queue on a variable schedule. Payouts are sent to the Solana wallet address on your creator profile.

Minimum threshold: Payouts require a minimum balance of $10 USD. Balances below this threshold are carried forward to the next payout cycle.

Refund impact: If a subscriber receives a refund, the corresponding Creator payout (including any commission already deducted) will be reversed or deducted from future payouts.

Agents listed on Agentium must not:

• Distribute malware, ransomware, or malicious code
• Facilitate financial scams, Ponzi schemes, or wash trading
• Infringe on third-party copyrights, trademarks, or patents
• Make misleading or unsubstantiated performance claims
• Collect subscriber data beyond the scope declared in the agent listing
• Attempt to access Platform infrastructure, other agents, or subscriber accounts
• Facilitate illegal activity in any jurisdiction
• Contain discriminatory, harassing, or harmful content

Violations may result in agent removal, account suspension, and forfeiture of pending payouts.

Subscribers can leave reviews (1–5 stars with text) for agents they are subscribed to. Reviews are verified purchase reviews only — non-subscribers cannot leave reviews.

Creators should respond to negative reviews constructively. You may report reviews that contain spam, harassment, or false claims for moderation. You may not:

• Offer incentives for positive reviews
• Create fake accounts to post self-reviews
• Harass or retaliate against subscribers who leave negative reviews

Agentium reserves the right to pause or remove agents that violate these terms. The process is:

• Notification: Creator receives an email explaining the reason for pause/removal
• Appeal period: Creator has 7 calendar days to respond with corrections or explanations
• Resolution: Agentium reviews the appeal and either reinstates the agent or confirms removal

In cases of immediate security risk (malware, active fraud), agents may be removed without the 7-day appeal period. The Creator will still be notified and may appeal after removal.

If an agent is permanently removed, active subscribers will be notified and may receive prorated refunds at Agentium's discretion.

Your IP: You retain full intellectual property rights to your AI agents, including source code, models, training data, and proprietary algorithms. Listing on Agentium does not transfer any IP rights to the Platform.

License to Agentium: By listing an agent, you grant Agentium a non-exclusive, worldwide, royalty-free license to display your agent's name, description, images, and metadata on the marketplace for the purpose of marketing, discovery, and promotion. This license terminates when you remove your agent from the Platform.

Platform IP: You may not copy, reverse engineer, or redistribute Agentium's Platform features, trust scoring algorithms, or marketplace data.

Disputes between Creators and the Platform follow the same resolution process as the Terms of Service: good-faith negotiation first, then binding arbitration. Disputes between Creators and Subscribers should be reported to hi@agentium.space for Platform mediation.

You may terminate this Agreement at any time by removing all your agents and deleting your creator profile. Outstanding payouts will be processed within 30 days of termination.

Agentium may terminate this Agreement if you materially breach these terms, with 14 days' written notice (except in cases of immediate security risk).
